In 2014 our Tim Hortons Board of Directors governed sustainability and responsibility.

In 2015, we will be reevaluating the sustainability and responsibility governance structure to align with the next phase of our sustainability and responsibility strategy as well as any new governance policies and company structure resulting from the formation of RBI.

Our Sustainability and Responsibility Policy includes the structure and supporting processes for effective sustainability and responsibility governance and accountability in 2014. 

In 2014, the Nominating and Corporate Governance Committee managed this accountability on behalf of the Board, including oversight of the following sustainability and responsibility matters:

  1. Policy development;
  2. Creation of sustainability and responsibility strategies, and supporting implementation and resource plans, including mitigation of risks; and
  3. Establishment of organizational sustainability and responsibility commitments, goals and external reporting.

A report of progress made on our Company’s sustainability and responsibility strategy, programs and performance was delivered to the Nominating and Corporate Governance Committee of the Board of Directors on a regular basis in order to allow for appropriate governance and risk management practices. 

Management accountability for sustainability and responsibility resided with our executive team. To help optimize the effectiveness of our strategies and programs, one of our executive officers led accountability for sustainability and responsibility. Further, a senior officer had day-to-day responsibility for sustainability and responsibility strategy, planning and implementation.
